Ms. Berry is a managing partner with the Firm, having wide ranging experience in the representation and education of business organizations and their multiple areas of concern, including employment law, business law, federal regulation, contract compliance measures and contract review. Ms. Berry’s practice area with the Firm mainly involves employment and business law representation for employers and employees.
Prior to joining the Firm, Ms. Berry recently served as Interim General Counsel (GC) of the National Wildlife Federation (NWF), the largest conservation organization in the United States, in addition to also serving as a corporate officer of the organization. During her tenure, Ms. Berry was in charge of providing legal advice on several different types of employment law matters, such as:
- Designing, reviewing and implementing business employment policies, manuals and procedures
- Review, implementation and oversight of litigation and issues involving executive separation agreements
- Oversight of internal employment investigations
- Oversight of legal issues involving Reductions-in-force
- Employment whistleblower practices compliance matters
- Employee performance review procedures
- Oversight of litigation and settlement of employment disputes and actions before the Equal Employment Opportunity Commission.
Ms. Berry’s other duties as GC included general corporate governance issues applicable to non-profit 501(c)(3) organizations, including:
- Ensuring compliance with bylaws and related policies, as well as matters under the Sarbanes-Oxley Act of 2002
- Records retention issues
- Whistleblower practices compliance
Ms. Berry has experience in handling the legal issues associated with the dissolution of business entities. Additionally, Ms. Berry, in her tenure with NWF, reviewed, analyzed and provided legal advice regarding federal and state tax laws applicable to non-profit organizations and their affiliates, including for-profit subsidiaries. Ms. Berry was also active in providing legal advice in the realm of 501(c)(3) and 501(c)(4) lobbying regulation compliance matters and election related activities by staff and affiliates.
Ms. Berry also has experience in other types of day to day corporate legal issues. In her past tenure with NWF, she managed estate litigation and related trust and estate issues; was responsible for oversight of regulation compliance areas including fundraising and promotional activities on a national scale; was responsible for management and legal advice on intellectual property matters (including copyright issues); and provided comprehensive contract review, development and negotiations in conjunction with the operations of a national nonprofit and the organization’s for-profit subsidiaries.
Other issues handled by Ms. Berry included commercial property matters, sweepstakes issues, Patriot Act compliance, promotional matters and CAN SPAM regulations.
Ms. Berry has also served as a speaker at Continuing Legal Education events and provided legal training to organizational staff on regulation compliance matters. Ms. Berry was a member of the Association of Corporate Counsel and has presented legal seminars as a faculty member on various legal issues of relevance to in-house counsel of business organizations.
Ms. Berry received her undergraduate degree (B.A., cum laude) from Binghamton University and received her law degree, (J.D.) from the University of Maine School of Law. Additionally, Ms. Berry was awarded highest honors in earning a masters of law degree, (LL.M.), from The George Washington University Law School, specializing in litigation and dispute resolution. She is admitted to practice in the District of Columbia, the State of Massachusetts, and the State of Maine.
